TERMS AND CONDITIONS

1. INTRODUCTION
This User Agreement ("Agreement") is between Contopronto AS ("Contopronto", "we" or "us" where appropriate) and our customers ("you"). LUUP® is the brand name of our payment solution.

Agreement set out the terms and conditions for the signing up and use of the LUUP customer account ("LUUP Wallet"). Because we wanted to offer you the very best we constantly strove to make LUUP better. This meant that we from time to time added new features and new functionalities to LUUP. During these periods your access to your LUUP Account and your access to our website may have been delayed, or even denied, for a short period. We endeavoured to do our best to make these changes as smooth and short lived as possible in order to minimise the effect.

Changes in our product, services, features and functionalities may have meant that parts of this Agreement changed from time to time to reflect the changes we made to LUUP. Changes in our legal and regulatory obligations also meant changes in the terms and conditions to this Agreement. Any changes or amendments made to this Agreement were posted on our website.

2. ISSUANCE OF ELECTRONIC MONEY (“E-MONEY”)
Our business was the issuance of e-money. The funds you paid into your LUUP Wallet were immediately exchanged for e-money which you could have used to buy goods and services and transfer e-money to others. We are not a credit institution and we do not act as a trustee of the balance you may have had on your LUUP Wallet.

WE DO NOT PAY INTEREST OR OTHER EARNINGS ON THE FUNDS YOU KEEP ON YOUR LUUP WALLET AS WE ARE PROHIBITED FROM DOING SO BY LAW. NOR ARE WE ALLOWED TO GIVE LOANS OR CREDIT.

As an E-Money Institution we are not covered by any public or private insurance schemes. We are however tightly regulated by both the Financial Supervisory Authority of Norway and the Financial Services Authority in the UK pursuant to applicable EC Directives and national Rules and Regulations. This includes, amongst other things, a one million EURO security balance currently placed with the Norwegian Financial Services Authority, or a minimum own capital (funds) requirement equalling two percent of all outstanding issuance of E-money. Please be aware however that any balance (amount of E-money) you kept on your LUUP Wallet wass an unsecured debt on us that could have been at risk if we had gone bankrupt or become insolvent.

3. ACCEPTANCE AND COMMENCEMENT OF THIS AGREEMENT
You accepted the terms and conditions in this Agreement by either one of the two ways in which you signed up for a LUUP Account:
  • Online registration or
  • Text message ("SMS") registration.
When you accepted the terms and conditions in this Agreement by executing either one of the two actions mentioned above you became bound by these terms and conditions.  

4. ELIGIBILITY
This is a private account. By that we mean that your LUUP Account was meant for non commercial activities.    

Any individual from the age of 14 (fourteen) who is a resident in the United Kingdom could have signed up for a LUUP Wallet. If you’re not a resident in the United Kingdom, please go to the appropriate site for the country of your residence at the first page on our website. No single individual could have held more than one LUUP Wallet at any one time.

We reserved the right to deny you the right to sign up for a LUUP Wallet and use our services. We also reserved the right to make you register for a Merchant Account if you reached the following threshold:
  • Receive more than 30 (thirty) person-to-person (“P2P”) transactions per month.
5. MINORS
Individuals between the age of 14 and 18 could have signed up for a LUUP Wallet. However, if you were under the age of 18 you would have needed permission to sign up from your parents or legal guardian.

BY SIGNING UP FOR A LUUP ACCOUNT YOU WERE TELLING US THAT YOU WERE EITHER:
  • OVER THE AGE OF 18 AND ELIGIBLE TO ENTER INTO A LEGALLY BINDING CONTRACT; OR
  • YOU HAD PERMISSION FROM YOU PARENTS OR LEGAL GUARDIAN TO SIGN UP A LUUP ACCOUNT.
In order to restrict certain services and merchants from minors we had restrictions of use in place. The only way in which you could have used these services or access these merchants was to be age verified.

6. SIGNING FOR A LUUP ACCOUNT
For online registration you would have been required to give us certain information. You could not have used the LUUP Wallet unless you completed the registration process.

USE OF THE LUUP WALLET WAS CONDITIONAL UPON YOU GIVING US PRECISE AND ACCURATE INFORMATION. YOU THEREFORE CONFIRMED THAT ALL THE INFORMATION YOU PROVIDED WAS COMPLETE AND ACCURATE IN ALL RESPECTS.

7. ADDING FUNDING SOURCE (FUNDING VERIFICATION)
7.1. Credit card and Debit card
Until we terminated this Agreement, you had the ability,  at any time, to add a funding source to your LUUP Account such as a credit card or a debit card (cards with the "Visa", "MasterCard", “Maestro” or “American Express" logo) to your LUUP Account.  
7.2. Funding your LUUP Account from your Bank Account
If you wanted to fund your LUUP Wallet by using your bank account you needed to add money from your bank account to your LUUP Wallet and provide details of your bank account to us. We would then have contacted your bank. If the information we received from the bank (i.e. full name, address, account information) matched the information you provided then you would have successfully added your bank account as a funding source to your LUUP Wallet.  .

8. VERIFICATION
In order for us to comply with the rules and regulations governing money laundering activities, funding of terrorism and fraud we were obliged to verify that the information you supplied us with was correct and that you were who you say you were.

We had 4 levels of verification.   
  • Simple SMS registration: The simple sign up process where we verified your mobile phone number.
  • Online registration:  . Used to verify that you were in possession of a valid mobile phone number.
  • Funding source process: A process whereby we verified the source of your funds  ) and verified that you had a valid mobile phone number (see Online/SMS Registration above).  
  • Online verification of ID: Here we passed on your personal information to a third party who specialized in online verification of identity. They ran all personal details you provided us with and checked them against a whole range of databases – public and private – to verify that the information you provided us with was correct. Some of our services required that you undergo an online ID verification, for instance for age requirements.
9. USE OF YOUR LUUP ACCOUNT
9.1. Security Information:
User Name, Password, Secret Question & Answer, PIN
In order to use our service you were required to choose a user name or use your mobile phone number as your unique identifier. You were also required to choose a password and secret question & answer. We then gave you your PIN ("Personal Identification Number") once you had registered with us. We would not have revealed your PIN to anyone else. When buying goods and services from online stores (merchants) you would have been obliged to enter your PIN.

Your password, secret question & answer and your PIN is what we call "Security Information".

You were responsible for the security and proper use of all Security Information and you must have taken all reasonable steps to ensure that it was kept secret, secure and properly used at all times. You were advised to try and remember your Security Information and destroy any notices that you may have had containing this information. You agreed not to reveal any of the Security Information to any person or let anyone else use your LUUP Wallet. You agreed not to use another person's Security Information. For your safety and security we advised that you handle all information related to the use of our service with the utmost care.

WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE, WHICH IS A RESULT OF THIRD PARTIES GETTING HOLD OF YOUR SECURITY INFORMATION, EXCEPT IF IT IS AS A RESULT OF US HAVING ACTED NEGLIGENTLY.

9.2. Loss of mobile phone
If you lost your mobile phone you should have immediately contacted your mobile phone provider to block your subscription and you should have contacted us through customer support in order that we could have disabled your LUUP Wallet. Please use our lost password feature to retrieve your lost password.

WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE YOU INCUR PRIOR TO YOU CONTACTING US AND YOUR ACCOUNT BEING DISABLED.

9.3. Maximum amount stored on your LUUP Account
In order to be compliant with our regulatory obligations and for security reasons we set a maximum allowed amount you were allowed to store on your LUUP Wallet at any given time. If you received money from another person, and the combined value of the stored amount of e-money on your LUUP Wallet and the money received exceeded the maximum amount, the overflow would have been transferred to a reserve fund and transferred to your LUUP Wallet when you had spent the funds then on your LUUP Wallet.

9.4. Limit on spend
To limit the level of fraud and money laundering we put in place a maximum limit on accumulative spend per calendar month and per purchase depending on your level of verification and your transaction history. These limits may have varied from country to country. More information was available in the FAQ on our website.

9.5. Theft of your e-money
The e-money stored on your LUUP Wallet was accessible by your mobile phone. You were therefore advised to treat your mobile phone as you would your wallet by keeping it safe and secure. You were also advised that we were able to identify all your transactions.

WE TAKE NO RESPONSIBILITY FOR THE THEFT OF YOUR E-MONEY DUE TO LOSS OR MISUSE OF YOUR MOBILE PHONE OR LOSS/MISUSE OF YOUR SECURITY INFORMATION THAT IS NOT THE RESULT OF A NEGLIGENT ACT BY US.

9.6. Claim for Goods and Services bought/Chargeback
You thereby understood and accepted that any goods or service bought using LUUP was a matter between you and the relevant merchant. We did not act as an agent or representative of any LUUP Wallet holder or merchant. Any claims you may have had relating to your transactions that are not directly related to the payment process should have been directed to the relevant merchant.

We do not accept any claim for chargeback (reverse payment) as this would have been a matter between you, the relevant merchant and your card issuer.

9.7. Direct Debit
In some countries we may have offered you the alternative to purchase goods and services using LUUP by direct debit from your bank account. If you didn’t have sufficient funds in your bank account to cover the transaction we would have either sent the claim directly to a third party for collection or attempted to debit your bank account two more times before we sent our claim for the transaction amount to a third party for collection. We made you aware that we would have added any fees charged by your bank or by any third party to any amount we attempted to debit from your bank account. Please also be aware that failure to recover the transaction amount from you could have lead to a negative credit report that could have influenced your ability to get credit or loans in other financial institutions in the future.

9.8. Change of Profile Information

It was important that you kept us up to date with any changes to your contact details. We will not have been liable for any loss or fraud that directly resulted from you failing to inform us of these changes.

9.9. Fraudulent behaviour
We reserved the right, at any time, and at our own discretion to disable or freeze your LUUP Wallet on suspicion of fraud or misuse. We will have carried out checks on the information you provided to us when you signed up an account to verify that you were who you claimed to be. We will also have monitored your transactions for money laundering, criminal or fraudulent behaviour or misuse of the system. If we find out that fraud, criminal or money laundering activities have taken place, or we have reasonable grounds to suspect such activities have taken place, we will immediately report our findings to the proper authorities.

ANY BALANCE (AMOUNT OF E-MONEY) YOU MIGHT HAVE HAD ON YOUR LUUP WALLET WILL BE FROZEN IMMEDIATELY WITHOUT COMPENSATION WHILE WE CONDUCT OUR OWN INVESTIGATION, OR UNTIL THE AUTHORITISES HAVE CLEARED YOU OF ANY SUSPICIONS.

10. PRIVACY
In order to provide our service and to comply with Money Laundering regulations, we would have collected and processed information about you and all your transactions in the LUUP system. Your personal information may have been checked with fraud prevention agencies and other organisations involved in crime prevention to assist us in minimizing fraudulent or criminal activity.

We undertook to collect, process and store all of your information in accordance with applicable data protection rules and regulations.

By accepting this Agreement you also accepted that we may collect, process and store your personal information in accordance with our Privacy Policies. You also expressly accepted that we were able to use and pass on your information in accordance with the Privacy Policy. Our Privacy Policy is an integral part of this Agreement.

Please be aware that we take your privacy concerns very seriously. We have put in place a "Privacy Officer" for your benefit. Please feel free to contact our Privacy Officer at any time at privacy@microtec.net if you should have any questions regarding our privacy policy.

11. Currencies
Your default currency is Pounds Sterling (£). You did however have the choice of making payments in another currency. If you wanted to conduct your transactions in EURO all you had to do was enter "euro" in front of the amount you wanted to transact.

Our exchange rate was based on the European Central Banks official currency exchange rate list which we downloaded every 24 (twenty-four) hours. We did not support the keeping of LUUP Wallet in a currency other than Pounds Sterling (£). The e-money you received was therefore converted into Pounds Sterling (£) regardless of which currency the sender chose to transact in. If you sent a payment to a person/merchant in another country that used another default currency, your transaction was converted from Pounds Sterling (£) to the local default currency regardless of whether you chose to send it in their currency. If you chose to conduct transactions in a currency other than your default you hereby consented to buying the currency of your choice from us, and to accepted the buy rate then set by us.

12 WARRANTIES
We endeavoured to do our best at all times to process your payments in a timely and efficient manner and we tried to the best of our ability to make sure that you were satisfied with our services. We provided our services without any warranties, express or implied, other than those set out in this Agreement. We did not control third party services such as banking systems, credit/debit card processing or mobile telecommunications; therefore we could not and did not guarantee a hundred percent continuous and uninterrupted access and use of our service.

13. LIMITATIONS ON LIABILITY
Your LUUP Wallet was strictly personal and may only have been used by you. We did not and do not take responsibility for any loss or damage due to third party use of your LUUP Wallet, or loss and damage arising from changes to your mobile phone, loss or misuse of your mobile phone, change of operator, suspended SIM-card, or other reasons which were or are beyond our control. We were not and are not liable for incorrect dispatches of SMS texts, or the amounts stated in each transaction. You were advised to make sure you entered the correct phone number and the amounts to be transferred. We were not and are not liable for loss or damage caused by power shortage, errors or failures in the data or payment processing network and telecommunication network, applicable regulatory changes, orders from Public Authorities, war, strike, and other conditions outside our direct control. Save as otherwise stated in this User Agreement our liability is limited to direct loss or damage you suffer as a direct result of our negligence for circumstances over which we have direct control. Under no circumstance will our liability exceed the balance on your LUUP Wallet. Under no event shall we be liable for any indirect or consequential loss or damages such as lost profits or damage to reputation.

You were advised to treat your LUUP Wallet like cash in a wallet. If you lost your mobile phone, or it was stolen, you may have lost any funds stored on your LUUP account in just the same way as if you lost your wallet.

However, unless you acted fraudulently, negligently or without reasonable care, your liability for the misuse of your LUUP Wallet was as follows: If the fund was transferred from your LUUP Wallet by unauthorised withdrawals before you told us it had been lost, stolen or misused, the most you could have lost was £50 (fifty Pounds Sterling).

You will not have been liable for any losses if funds are transferred from your LUUP Wallet after you reported the loss of your mobile phone or Security Information to us.
 
 
14. TRANSFER AND ASSIGNMENT OF RIGHTS
You did not have the right to assign or transfer this agreement or your rights under it. We did have the right to transfer or assign all or any of your rights and obligations in this agreement without notice to you. Your rights under this agreement will not have been affected.

15. LAW AND JURISDICTION
This Agreement shall be governed and construed by the laws of England and Wales. All legal proceedings shall be dealt with the relevant Court to which you are domiciled within the United Kingdom.

 
17. WHO IS RUNNING YOUR LUUP ACCOUNT
Your LUUP Wallet is held and operated by Contopronto AS which is authorised to issue e-money by the Royal Norwegian Ministry of Finance and regulated by the Financial Supervisory Authority of Norway and the UK Financial Services Authority. PRIVACY POLICY INTRODUCTION
LUUP is the brand name of Contopronto AS' payment solution. Contopronto AS is a Norwegian limited liability company, incorporated under the laws of Norway, company registration number 981 689 526, company address 20 Albert Embankment, Hampton House, London SE1 7TJ, England.

We will during the course of offering and delivering our services be gathering, storing and processing certain information about you and/or your business. We take your privacy issues very seriously and will in no way act, or attempt to act, in any way that may jeopardize the secrecy of your private information. We have therefore instituted an office of privacy in strict accordance with the Norwegian Data Protection Agency and approved by them in accordance with applicable national and international rules and regulations. The approval by the Norwegian Data Protection Agency gives us the right to use the logo of the “Privacy Ombudsman” on our website.

1. ACCEPTANCE
By accepting the terms and conditions in the User Agreement or the Merchant Agreement you also expressly consented to our use, disclosure and transfer of your personal information as described in this Privacy Policy. This Privacy Policy is incorporated into and is subject to the terms of the User Agreement and Merchant Agreement.

2. THIRD PARTY WEBSITES
Some pages on our website included links to third party websites. These sites are governed by their own privacy statements. We are in no way responsible for third party websites including but not limited to their privacy policies. Users submitting information to or through these third party websites should review the privacy statement of these sites before providing them with personal information.

3. WHAT KIND OF INFORMATION DO WE COLLECT
For the purpose of registering a LUUP account you will have provided us with certain information (such as your mobile phone number, your e-mail address, name, username) and answered some questions and chosen a password. If you wanted to fund your LUUP account or withdraw funds you needed to register a credit or debit card and bank account, and provide us with your card and banking details.

For the purpose of verifying that you were who you claimed to be and to comply with anti-money laundering and anti-terrorist financing we conducted various checks on the information you provided to us. We might also have gathered additional information about you in order to verify the information you provided. In some instances we may have done the check ourselves and in other instances we may have elicited the help of an outside third party to do the check. Such outside third parties may perform card authorization checks or be fraud screening partners.

If you’re a merchant we will have done a thorough background check with Companies House and in some instances with other third parties such as CreditSafe for credit reports. We may also have asked you for certified copies of ID.

If you wanted to contact us through our customer support centre we may have stored your enquiries and the answer we provided for reporting purposes. Our reports will only have been used internally in order to improve our service.

WE ASKED THAT YOU NEVER GIVE YOUR NAME, ADDRESS, USERNAME, PASSWORD, PIN, CREDIT OR DEBIT CARD INFORMATION, BANK ACCOUNT INFORMATION OR LUUP ACCOUNT INFORMATION TO ANYONE INCLUDING OUR CUSTOMER SUPPORT (EXCEPT WHEN YOU REGISTERED).

In order to conduct a transaction you were required to supply your mobile telephone number, and/or your user name, and/or your payment reference number to the recipient. Your personal information was stored at the recipients “personal page” on his/her secure page on www.microtec.net the same way as your bank account statement lists all transactions going into your bank account and out from it.

Your transaction data will be stored for a minimum of 5 (five) years to comply with rules and obligations applicable to us.

4. WHAT DO WE USE THE INFORMATION FOR
There are several reasons for why we collected, processed and stored your personal information. Some of the information we needed in order to give you a LUUP account when you registered for one. Other information we needed in order to complete identity checks on you to comply with applicable rules and regulations. We will have used your personal information for the following purposes:
a) To complete your registration and the addition of a funding source;
b) To conduct background checks and ID verification;
c) To make statistics and reports for internal use in order to improve our service, improve our product and for marketing purposes;
d) For transactional purposes; and
e) To combat money laundering, fraud and terrorist financing;

5. DISCLOSURE
We will not have disclosed your information to any outside third party except in the following circumstances:
a) In cases of fraud, money laundering, financing of terrorist activities or other criminal acts, or if we have or had grounds to believe such criminal activities are taking place, we will or will have notified the Authorities and hand over any relevant information they might require. We might also have used third parties to conduct checks to see whether such criminal activities are taking place;
b) If so requested by a competent Court of Law or any Governmental body;
c) If we were merged or acquired by another company. If this happens, the successor company would have access to the information maintained by Contopronto, including your account information;
d) We may have shared your information with our parent, subsidiaries and joint ventures to help coordinate the services we provided to you, enforce our terms and conditions, and promote trust and safety; and
e) On request disclose your information to your legal representative such as a holder of power of attorney, to your legal guardian and parents if you are under the age of 14;

6. STORING
Your information was stored, processed and transmitted on computers situated in Norway in a safe, confidential and secure environment in accordance with applicable national and European Community rules and regulations. Information stored and processed for the purpose of customer support was done in a safe, confidential and secure environment on computers in the United States.

7. TRANSFER OF DATA TO OTHER COUNTRIES
Depending on our business partners we may have transferred, stored and processed your information in other countries than those mentioned above.

8. WEB SITE TRAFFIC
Whenever you accessed our website we were able to automatically receive the web address of the site that you came from or were going to. We may also have collected information on which pages of our website you visited while you were on our website, the type of browser you used and the times you accessed our website. We may use or have used this information to better understand our customers' preferences and to manage the load on our servers, so as to improve our service and your user experience. We do not track the websites that you visit before or after you leave the LUUP website.

9. “COOKIES”
“ Cookies” are small files of data that reside on your computer. When you choose one of the flags on our website representing the country of your residence, a cookie will be attached to your computer remembering what flag you chose last time and immediately go to that part of our website.
